TERMS AND CONDITIONS

By submitting this application, you, as an individual and the Authorizing Officer of the Company, (a) are requesting us to open an Account in the name of the Company, (b) are requesting that we issue Card(s) as you direct, (c) are agreeing to be jointly and severally liable with the Company for all charges to the account, and (d) are REPRESENTING THAT ALL CARD(S) ISSUED ON THE ACCOUNT WILL ONLY BE USED FOR COMMERCIAL OR BUSINESS PURPOSES. Only qualified individuals 18 or over may be approved for a Card Account. This offer is available to US Residents, excluding Puerto Rico and the US Virgin Islands. When you use the Account (or sign or keep the Card), you agree to the terms of the Cardmember Agreement that will be provided to you for the Account. The Cardmember Agreement includes an arbitration provision, which impacts the opportunity to have claims related to the Account heard in court or resolved by a jury, and to participate in a class action or similar proceeding. We may change the terms of, or add new terms to, the Cardmember Agreement at any time, subject to applicable law. We may apply any changed or new terms to any existing and future balances on your Account, subject to applicable law.

You promise that the information you provide on this application is accurate. You authorize us to verify this information and to obtain reports from consumer reporting agencies. You authorize us and our affiliates and subsidiaries to share information we have about you at any time for marketing and administrative purposes as permitted by law. Upon request, we will tell you if we have received a consumer report and the name and address of the agency that provided it.

Additional Cards: You must notify Additional Cardmembers that we may obtain, provide, and use information about them and that their use of your Account is subject to certain provisions of the Cardmember Agreement. We may seek payment from Additional Cardmembers for Charges they make or authorize if you do not pay us. The maximum number of Additional Cards issued on each Account is 99.

Patriot Act Notice: Federal law requires all financial institutions to obtain, verify and record information that identifies each person who opens an account, including your name, address, date of birth and other information that will allow us to verify your identity.

Notice to Delaware Residents: Service charges not in excess of those permitted by law will be charged on the outstanding balances from month to month.

Notice to Oregon Residents: You may pay more than the minimum payment due, up to your entire outstanding balance, at any time.

Notice to Ohio Residents: The Ohio laws against discrimination require that all creditors make credit equally available to all credit worthy customers, and that credit reporting agencies maintain separate credit histories on each individual upon request. The Ohio civil rights commission administers compliance with this law.

Welcome bonus offer not available to applicants who have had this product or any other Business Gold, Green or Platinum Card® account within the last 12 months.

To be eligible to receive the bonus points, you must (1) apply for the Business Gold Rewards Card from American Express OPEN using Bonus ID A3AU prior to termination of this offer, but in no event later than November 26, 2012, and (2) charge $5,000 of eligible purchases on the Business Gold Rewards Card in the first 3 months of Card membership. Eligible purchases are purchases of goods and services minus returns and other credits, and do not include fees or interest charges, cash advances, purchases of traveler's checks, purchases or reloading of reloadable pre-paid cards, or purchases of other cash equivalents. If you apply after November 26, 2012, we may still process your application but you will not be eligible for the 50,000 bonus points. Additional Card Spending Limits
Additional Card Spending Limits must be established by calling the number on the back of your Card. The Spending Limit is not a guarantee that the Additional Cardmember will be able to make purchases up to that limit. There are certain purchases where the limit does not apply such as restaurant tips and hotel stays extended beyond their original reservation period and the overall Account capacity is taken into consideration. For more information on the application of the limit, please refer to the Spending Limit Terms & Conditions that will be included in the confirmation letter mailed to you after your limit is applied to each Additional Card.

Authorize Someone To Manage Your Account
Authorized Account Managers and Agents must be at least 18 years old. American Express® Business Line of Credit accounts are not eligible for Authorized Account Managers.

Automatic Bill Pay
Terms and Conditions apply. Not all providers service all markets. In some instances, it may take more than one billing cycle before initial paid amounts are posted to your American Express Card® account. Please remember to cancel these payments with your service providers if you close your Card account, and advise your service providers if your Card account number changes.

Dispute Resolution
Not all disputes are resolved in the Cardmember's favor.

Emergency Card Replacement
Not all services available at all locations and all are subject to local laws and cash availability.

Express Cash
For U.S. Card members, the fee for each cash transaction shall be the greater of $5.00 or 3% of the cash transaction with no maximum. The 1% fee on Express Cash Travelers Cheque purchases is waived for Business Platinum Card members. Combined Express Cash and Emergency Check Cashing withdrawals must not exceed the monthly $10,000 limit. Express Cash transactions and fees will not be billed to your Card statement. Withdrawal amounts may vary depending on the ATM network and Card member credit and repayment history. If multiple withdrawals are required, a separate transaction fee will be charged. By using the service you are indicating your acceptance of the terms of the Electronic Fund Transfer agreement, which you will receive upon acknowledgement of your enrollment.

Global Assist® Hotline
While the Global Assist® Hotline coordination and assistance services are offered at no additional charge from American Express, Cardmembers are responsible for the costs charged by third-party service providers. Gold Card Events
The following American Express Cards (domestic and/or international) are eligible for Gold Card Events: Gold Card, Platinum Card®, Centurion® Card, the Delta Reserve Credit Card, International Dollar Cards, Corporate Platinum Card and the Executive Business Card, Business Gold Card, Business Platinum Card and Business Centurion Card from OPEN, if issued by American Express Travel Related Services Company Inc., American Express Centurion Bank, or American Express Bank, FSB.Gold Card Events is not offered to the following (domestic and/or international) Cards that include, but are not limited to, select American Express® Corporate Cards, Optima® Cards, Delta SkyMiles® Credit Cards, American Express Costco Credit Cards, American Express Cash Rebate Cards, Hilton HHONORS® Credit Cards or Starwood Preferred Guest® Credit Cards, Aeroplus® Credit Cards, AeroMexico® Cards, Indian Airlines® Cards, Air France® Cards, British Airways® Cards, KLM® Cards, Tiger Woods® Credit Cards.

Membership Rewards ® - Multiple Points on Purchases
Business Gold Rewards Card members will receive the following Membership Rewards points for every dollar charged up to $100,000 of eligible purchases in each category: (1) 3 points for airfare purchases on all scheduled U.S. and international passenger airlines (Bonus ID 5986); (2) 2 points for advertising purchases in the U.S. for media, graphic design, tradeshows and advertising services (Bonus ID 5988); (3) 2 points for gas purchases from stand-alone U.S. gas and commercial fuel stations (Bonus ID 5989); (4) 2 points for shipping purchases in the U.S. for courier, postal, and freight services (Bonus ID 5987). Every dollar charged on eligible purchases in these four categories in excess of the $100,000 cap will earn single points. The $100,000 cap resets for each of the four categories each calendar year. Charges at tour operators, charter flights, superstores or warehouse clubs as well as all other eligible purchases will earn single points. The merchant must submit the charge under the appropriate merchant or industry code for you to receive double or triple points. Eligible purchases are purchases for goods and services minus returns and other credits, and do not include fees or interest charges, balance transfers, cash advances, purchases of traveler's checks, purchases or reloading of reloadable prepaid cards or purchases of other cash equivalents. Membership Rewards® Pay with Points
To use Membership Rewards Pay with Points, you must charge travel with an enrolled Card at American Express Travel. Points will be debited from your program account and a credit for the corresponding dollar amount will be issued to the Card account you used. If the points redeemed do not cover the entire amount of the charge, the balance of the purchase price will remain on the Card account. Minimum redemption of 5,000 points. Membership Rewards® Program -Transfer of Points to Frequent Flyer Programs
Enrollment in a participating Frequent Flyer program is required. Airline tickets are subject to availability. For each conversion of points into the Frequent Flyer program of a U.S. airline, a fee of $0.0006 per point, with a maximum fee of $99, will be charged to your Card account. We charge this fee to offset the federal excise tax we must pay on such conversions. The fee may be more or less than the actual amount of the excise tax we pay on any individual conversion. We may offer you the option to redeem points to pay this fee.

No Pre-Set Spending Limit
No pre-set spending limit does not mean unlimited spending. Purchasing power adjusts with your use of the Card, your payment history, credit record and financial resources known to us, and other factors.

OPEN Savings ®
Savings range from 3% to 10%. Payment must be made with an American Express® Business Card at the time of purchase; savings will be credited to your account. If purchases that received the OPEN Savings discount are refunded, the OPEN Savings discount will be reversed and debited from your account. Please review your monthly Cardmember statement in order to confirm proper crediting of returns. If you believe that returns have not been properly credited to your account, please call the number on the back of your Card. Other restrictions or limitations may apply. Subject to offer terms and conditions located at open.com/opensavings. Merchant participation and offers are subject to change without notice.

Return Protection
Coverage is limited to 90 days from purchase, up to $300 per item and up to a maximum of $1,000 per Cardmember account per calendar year. Shipping and handling charges will not be reimbursed. Subject to additional terms, conditions and exclusions.

Roadside Assistance Anywhere
American Express Roadside Assistance Services are provided as an emergency service and not a general maintenance type service. Coverage is provided for 1 service only every 7 days. Coverage provided for self-propelled, four-wheel vehicles designed, licensed, and used for private on-road transportation, and trucks with a carrying capacity of up to 2 tons. Towing to the nearest authorized facility, or, upon the Card-member's request, to another location with a maximum of $50 coverage. Emergency situations do not include: all parts, labor and supplies provided while at an auto repair shop or service station, towing to another location unless the initial service location is closed, service for taxicabs, tractors, boats, rental vehicles, ambulances, trucks, vehicles used for competition, unlicensed vehicles, illegally parked or impounded vehicles, or any vehicles in tow, rental and towing equipment, towing at the direction of law enforcement officer relating to traffic obstruction, impoundment, abandonment, illegal parking, or other violations of law or towing by other than a licensed service station or garage, installation or removal of snow tires, repairs to studs, mounting and dismounting snow chains, repeated service calls for a vehicle in need of routine maintenance or repair, shoveling snow from around a vehicle, vehicle storage, or impoundment charges.

The Online Year-End Summary, available each January 1st, reflects charges posted to your account from January 1st through December 31st of the prior year.
